The formal terms and conditions relating to employers use of the Prefio service (a trading style of Director Resourcing Ltd) are set out below.


1. Posting & Administering Opportunities
1.1 There is no charge to post an opportunity on the Website. Fees are payable only upon successful placement of a candidate introduced via the Prefio system (this is a contingent model of recruitment).
1.2 We require Employers to register with basic details and accept these Terms and Conditions before we set Employer's accounts as active.
1.3 Employers warrant that the details of all opportunities that they post on the Website are accurate and relate to a genuine opportunity within their organisation.
1.4 We understand that some Employers will wish to receive candidate details by email whereas others will have in-house applicant tracking systems. In setting up your details you can select what means of delivery of candidate details you require - if Prefio need to enter details into an Employer system then you should contact us to discuss the detail. There is not currently any additional charge for this.
1.5 Employers agree to review candidate details in a timely fashion and to communicate with candidates to let them know their current status. We would normally expect Employers to acknowledge applications within five working days as a maximum. Evidence of repeatedly poor feedback to candidates will be grounds for terminating an Employer's use of the Website.

2. Fees & Rewards
2.1 Employers agree to contact Prefio as soon as an offer of employment is accepted by a Candidate introduced via Prefio, with the planned employment start date. We will then invoice the Employer for the appropriate fee and reward. All invoices are payable immediately upon receipt.
2.2 Upon placement the reward and placement fee become payable. The reward amount is set by the Employer at the time of entering the opportunity details (subject to a minimum level set by Prefio). The placement fee to Prefio is displayed on the website. The total liability (reward plus Prefio fee) is shown as part of the entering opportunity details process. All fees and rewards are subject to VAT at the prevailing rate.
2.3 If an employer makes more than one appointment of candidates introduced by Prefio then the referrer reward and Prefio fee will apply to each appointment.
2.4 The fees and rewards are payable if any of the candidates introduced by Prefio are appointed on permanent, temporary, interim or part time basis within 180 days of initial introduction either by the client or any associated company with which the client has shared the candidate's details.
2.5 Payment is due upon receipt of invoice.

3. Guarantee
3.1 Where an appointed candidate voluntarily leaves or is dismissed from a client's employment (excluding redundancy) within 90 days of commencing employment, we will reimburse the reward element associated with the appointment of that candidate in full; the Prefio fee is non refundable. In this case the employer must inform Prefio within five business days of the candidate leaving their employment.

For Referrers

1. Referring a person for a position
1.1 Before you start to receive referral opportunities by email you must register on the Website by completing the online registration form providing evidence of your ability to refer in specific specialism(s).
1.2 If you think someone you know (the "Candidate") may be interested in applying for a position, the details of which you have been sent, then you can refer that person to the position through our Website. You can refer up to four persons for each position advertised.
1.3 Your details, including the area(s) of your referring expertise, will be stored by us, you will be able to access these (using your login details and password) and you are responsible for keeping this information up to date. You can turn referral opportunity emails on and off through the website interface.
1.4 On each occasion you refer a Candidate to us you will be asked to provide the Candidate's email address and you have the ability to include a message along with some standard wording from us. You can elect to remain anonymous to the Candidate in this process if you wish.
1.5 We will generate an email to the Candidate indicating that they have been referred to a position advertised on the Website.
1.6 If more than one person refers the Candidate to the same position, the Candidate will receive messages from all referrers and it is the Candidate's decision which referral they respond to, if any. Our message to the Candidate contains a unique link which if they choose to click on it and subsequently apply for the advertised position, makes the connection in our system between that Candidate and the particular referrer. For the avoidance of doubt, no Reward will be due if the link from your referral message is not followed.

1.7 There is no fee payable to us for Referrers registration on the Website or for Referrers use of the Services.

1.8 A referrer may apply for an opportunity themself (without being referred to it by another referrer). In this case if they are appointed, no reward is payable to that referrer - the reward is retained by Prefio.

2. The Reward
2.1 Positions advertised on the Website are allocated a referral fee (the "Reward"). Details of the Reward available for each position are set out next to the applicable advertisement on the Website. For each successful referral you make, you will receive payment of the Reward. A successful referral is defined as where a Candidate you refer for a position is (a) hired by the Employer for that position; and (b) remains employed by the Employer in that position for at least 90 days and (c) the Employer pays Prefio the appropriate reward and fee.
2.2 If you make a successful referral, we will contact you by email to notify you of this and to arrange payment of the Reward following the 90 day candidate guarantee period. However, while we make every effort to track the progress of referrals, we will not be responsible for the failure by an Employer to inform us of the recruitment of a Candidate. We recommend that if possible you maintain contact with your candidates and inform us when you believe you have made a successful referral (using the webform for such purpose at the website). When we are informed by you of a successful referral we will use reasonable endeavours to verify this and obtain the Reward.
2.3 Any communications regarding referrals, rewards and payments due must be made to prefio.com and not with the Employer. Failure to abide by this clause will nullify any right you may have to claim a reward.
2.4 Payment of the reward will be by cheque to you. Any costs and expenses incurred by you in respect of the payment method will be borne by you. Our payment to you is conditional on our first having received payment of the reward from the Employer for the candidate that you referred.
2.5 You are responsible for paying any tax which becomes due by you as a result of our payment to you of the reward and you indemnify us against any liability for tax due by you which results from such payment.
2.6 You must claim your reward within 6 months of referral. If you do not, your right to receive payment will terminate.

3. General Conduct
3.1 Referrers undertake to use the Prefio system in a responsible manner, and particularly not to make large numbers of completely inappropriate referrals.  If Prefio receives complaints about a referrer's actions then we reserve the right to suspend or terminate that referrer's account without entering into further discussion.
